<title><![CDATA[Where to form your LLC for virtual or foreign business activities]]></title>

<p>When you form an LLC (or Corporation), it is registered and created at the state level. You can choose to form an LLC in any state, regardless of your state of residency.</p>
<h3>Nexus</h3>
<p>When you have business activity that clearly occurs in a specific state, you are said to have "nexus" in that state. If your LLC has nexus in a state, it will probably need to register itself in that state and pay any applicable taxes for doing business there. An LLC is a pass-through entity, meaning it is designed to have zero taxation because income taxes are paid by the LLC owner(s) on their tax return. Unfortunately, some states have created franchise and/or excise taxes that can be costly.</p>
<h3>Virtual Businesses</h3>
<p>If you are starting an internet business (or any other business that doesn't create nexus in a specific state) you can choose to form your LLC in a state <!--more-->where registration is more favorable. You will need to name a registered agent - a person or corporation residing in that state who can be served papers on behalf of your LLC. There are plenty of companies who will provide a registered agent service for $100 to $150 per year.</p>
<h3>Foreign business activities</h3>
<p>If you form an LLC for the sole purpose of foreign activities (such as holding real estate outside of the U.S.) then you also may not have nexus in any specific state. This puts you in the same situation as having a virtual business - you can choose to form your LLC in any state.</p>
<h3>Top 4 States for LLC filing</h3>
<p><span style="text-decoration:underline;">Oregon</span> - Oregon does not have any LLC income, franchise, or excise taxes. Fees are low ($50 registration &#38; $50 annual report). It offers electronic registration and electronic submission of annual report. Forming an Oregon LLC is fast, easy, inexpensive, and it doesn't subject the LLC to any special taxation.</p>
<p><span style="text-decoration:underline;">Wyoming</span> - Wyoming was the first state to create an LLC law. There are no income, franchise, or excise taxes applicable to an LLC in Wyoming. Fees are low ($100 registration and $50 annual renewal). The only thing I don't like about WY is that registration and annual renewal must be done through the mail, which is a hindrance if there is a transaction waiting on your LLC to be formed.</p>
<p><span style="text-decoration:underline;">Delaware</span> - Delaware has always been one of the favorites for forming Corporations and LLCs because of its pro-business laws and court rulings. Over 50% of publicly traded U.S. companies and over 60% of Fortune 500 companies are formed in Delaware. It does have an LLC tax of about $250, but I consider it to be more of a "fee" than a "tax" because it is a flat figure not based on assets or income. This "fee" can be paid annually online, and there are no other taxes as long as the LLC doesn't have business activities in Delaware. There is a low initial registration fee ($90), but the formation document does have to be mailed in.</p>
<p><span style="text-decoration:underline;">Nevada</span> - Nevada gets a lot of attention as one of the top states in which to form an LLC or Corporation. This is partly because it boasts about its unique privacy policies - that it won't share owners' information with anyone, including the IRS or creditors. I've heard that over the past few years this privacy claim has been unraveled as owners' information has been surrendered in court. This reputation for iron clad privacy has also attracted a lot of scam artists into using NV LLCs, and that can attach a negative stigma to your NV LLC. Nevada does have the benefit of no taxation on LLCs, and it accepts faxed formation documents which is almost as good as electronic registration in terms of quick filings. Unfortunately, NV fees and filing requirements have been increasing, and I honestly haven't been keeping up with them. I don't see any reason to register a new LLC in Nevada unless the other 3 states become less favorable by increasing fees, taxation, or filing requirements.</p>

<content:encoded><![CDATA[<p>Summer is almost gone and we will miss those fabulous fashionistas wearing light and colorful summer clothing, but don´t cry - autumn is an exciting season for mix-matching outfits. Today I put different designers in a pan and mixed them well to get these looks. Let's start from the top; in the first picture the cute hair with the hat costs only 40 L from <a href="http://slurl.com/secondlife/TSUKIJI/162/226/2">W&#38;Y</a>. Can you imagine? So cheap and yet chic! Let's go down a bit to the necklace called Moonbeam from the famous <a href="http://http://slurl.com/secondlife/Farrah%20Island/197/64/25">JCNY Collections</a> and further you can see the black jacket "Nicole" from <a href="http://http://slurl.com/secondlife/Isen%20Fell/156/77/22">=Dela*=</a> which comes with different options and sizes, as well as various color options. My pants and shirt are from a set called Oro d´autunno from <a href="http://http://slurl.com/secondlife/Las%20Islas/155/77/26">Emporio Naima</a> and my shoes are the new release from <a href="http://slurl.com/secondlife/Jiminy/232/148/440">Bax Coen</a>: Bax Ankle Boots in black patent. The lush fashionable skin is called Adriana in "dark blue" from <a href="http://slurl.com/secondlife/Orbis%20Penitus/124/131/503">Glance</a> - I will write more about Glance skin for my next week's blog post, so stay tuned and check it out next Wednesday.</p>
<p>In the second picture, I am wearing a cute sweater called "Maia" (part of a set with jeans) with an oversized collar which comes in different color options in a package -  it's almost only available like this with lots of colors to mix with, at <a href="http://slurl.com/secondlife/Bare%20Rose/146/11/30">Barerose Tokyo</a>. My jeans are from <a href="http://slurl.com/secondlife/Isen%20Fell/156/77/22">=Dela*=</a> and what you see here is only one of many choices for the autumn. The sassy hairstyle is "Danita" from <a href="http://slurl.com/secondlife/Elite%20Island/245/89/47">Hair Solution</a> - you will find it in 5 different colors per package. My skin is again Adriana from <a href="http://slurl.com/secondlife/Orbis%20Penitus/124/131/503">Glance</a>, but in another makeup tone called "Sexy". <p>Months ago, I wrote a blog post on Addison Pemberton and his restored Boeing 40c.   Be sure to check it out for background.  Today Pemberton began a transcontinental flight in his plane that began at Republic Field in New York, and will end on Monday in San Francisco.  The flight plan retraces an old transcontinental mail route.  Here is the latest info I can find on the 40c Itinerary.</p>

<p>What with UKSAABs being mostly down, or inaccessible, for the last month I missed the news about founder member Al's (BigBadAl) new car - he's traded his excellent, but rusting Odorado Grey Classic 900 T16S for a new(ish) 9-5 Aero HOT! We're all looking forward to seeing that at the next gathering.</p>

<content:encoded><![CDATA[<p>This won't bring you quite up to date but I'll be back later with more.  From Bozeman, Heather and I drove to Yellowstone NP, where we camped our first night out of Bozeman.  We didn't do too much sightseeing (hiking is out there with the dogs) but it was really interesting to see what a forest looks like 20 years after massive forest fires.  We camped at Lewis Lake at the southern end of the park, and drove to southern Wyoming the next day.</p>

<p>The night after Yellowstone we camped in Flaming Gorge National Recreation Area, which was beautiful and provided us with a windy little rainstorm.  I haven't seen much rain lately, so it was nice for me.  In the evening I lost a game of Scrabble to Heather and in the morning I took a walk with the dogs.  I thought the colorful grasses were gorgeous.  You can see them in this picture of Heather walking Angus.</p>

<p>I was reminiscing about Sturgis and while sitting behind the ‘ol MacBook I was looking for some Rally news, photos, videos...something from Sturgis to connect while I wait until our 105<sup>th</sup> Anniversary departure.</p>
<p><strong>What luck?!</strong>  Last year I remember clicking on webcams for road reports and realized I can be there..."virtually"!</p>
<p>As a photo hobbyist, the best site is the webcam on <a href="http://webcams.sturgisbikeweek.com/">Sturgis Bike Week</a> site.  There is also <a href="http://www.wwolf.net/webcam/sturgis.htm">Web wolf</a>, <a href="http://www.sturgisrallydaily.com/interactive/sturgis_street_camera.php">Rally Daily</a>, Deadwood from the <a href="http://www.sdpb.org/dakotacast/webcam/deadwood.asp">SD Public TV</a>, <a href="http://www.sdpb.org/dakotacast/webcam/rushmore.asp">Mt Rushmore</a>, <a href="http://www.crazyhorse.org/webcam.shtml">Crazy Horse</a>, and all the associated Wyoming highway cams <a href="http://www.wyoroad.info/Highway/webcameras/I90Cameras.html">HERE</a>.</p>
<p><a href="http://nwhog.files.wordpress.com/2008/08/blonde_closeup.png"><img class="alignleft size-thumbnail wp-image-519" src="http://nwhog.wordpress.com/files/2008/08/blonde_closeup.png?w=78" alt="" width="78" height="96" /></a>The <a href="http://webcams.sturgisbikeweek.com/">Sturgis Bike Week</a> site offers hi-resolution cameras in multiple locations.  And when I say hi-resolution, it is most impressive with a zoom feature.  I did a "page scrap" of a random hi-resolution webcam photo and you'll notice that in the close up of the gal on the sidewalk you can nearly make out the face of the guy who is a reflection in her sunglasses.  Wow!  It's stunning that webcams are capturing this kind of detail.  It would be easy to run license plates while sitting in an air conditioned room...in another state</p>

<p>This is pretty good image quality for a webcam.  Makes me wonder how many people know there picture is on the internet...whether they like it or not?</p>

<content:encoded><![CDATA[<p>We had a great day today despite being in the car for a long stretch.  Leaving Cody (which in my opinion is hugely overrated), we headed east to make our way to Mount Rushmore and Crazy Horse.  Driving out of Cody and through Wyoming was pretty, but a tad boring.  We did, however, drive through this beautiful canyon along a windy road, where there were signs posted every so often that told you how old the rock was that you were seeing along the way - I can't remember the oldest, but we are talking millions of years. That was a cool thing to do for passerbys -- perhaps they knew how tired we were of driving?  Here's one of the great shots from that area:</p>

<p>We stopped for lunch in Sheridan, WY, getting off at the first of three exits for the small town.  We were a little worried at first, as we only saw a Super Kmart, a couple gas stations, etc., but continuing down Main Street, it turned into this adorable small town!  We loved it, and had lunch at a totally "country-hip" lunch spot that you'd easily find in San Francisco, called Java Moon.  It was attached to this very chic boutique, selling David Kahn jeans, adorable beaded earrings and necklaces, and other cute finds.  I couldn't believe all the great places to shop and eat!  </p>
<p>Continuing onward, Kurt later decided we had to pull off the freeway to get this great shot, right at the Wyoming/South Dakota border:</p>

<p>Pulling into Sturgis, SD for gas, we realized that tomorrow begins <a title="Sturgis Bike Week" href="http://http://www.sturgis.com/">Sturgis Bike Week</a>, where bikers from all around meet for a "biker Woodstock" of sorts (cool new term coined by Kurt).  You would not believe how many bikers we've seen today alone.  On our way to Mount Rushmore, this is one of the views:</p>

<p>So we made our way to Mount Rushmore, and basically saw the whole thing as we were driving up -- we took a few photos, and thought, "eh, we've seen it, do we really want to pay the $10 to park?".  We decided we were satisfied with our photos from outside the parking lot:</p>

<p>Next destination: Crazy Horse.  As we started to drive that direction, there was a car pull-out, and this great profile view of President Washington:</p>

<p>Ok, so now we were really on our way to Crazy Horse, which we fully intended to actually go into.  However, when we got there, it was $20 to park and go in, and again, we'd seen it all from the road!  Call us cheap, call us lazy, or just call us what we were (hungry), but we were quite satisfied. </p>

<p>After our freeloader sightseeing, we headed into Rapid City and checked into our hotel, and then drove into "town" to find some dinner.  I didn't realize just how awesome this place was going to be!  We found a great wine bar and restaurant, Wine Cellar Restaurant, and had fantastic wine, and excellent tapas.  Thursday nights are a buzz of activity in Rapid City apparently (they block off a road and have live music), and given all the excitement with Sturgis Bike Week, it was even more so.  We had an outdoor table at the restaurant, and everyone that walked by knew everyone else sitting outside with us  We ended up getting to know another couple sitting next to us.  It was great to meet some locals our age -- he's a cardiologist (he's looking to hire an ACNP!), and his wife is a stay-at-home mom for their three kids.  We ended up a pub with them for an after-dinner drink, so we had a really wonderful time tonight.  We talked to them a lot about how great we think the town is, and their only complaint was how isolated it was from everything else (the closest major town is Denver, which is 6 hours away).  At any rate, I was pleasantly surprised once again, with both food, wine and people!  Here's a street near where our restaurant was, at night:</p>

<p>This suit is so cute, I love the sculpted pant legs and the jacket comes with a shirt or without shirt option for a sexier look. The Monocrom suit also has a men's version!! I like that Sweetest Goodbye is branching out into menswear now because guys on the grid have NOTHING TO WEAR (compared to us girls anyway).</p>
